Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Ace Payment Services, Inc. ("Company," "we," "us," or "our"), a corporation organized under the laws of the United States with its principal place of business at 300 E. John Carpenter Fwy., Ste. 900, Irving, TX 75062. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

2. Description of Services

Ace Payment Services, Inc. provides the following services:

• Custodial Digital Asset Wallet Services: We hold digital assets in custody on behalf of verified account holders.
• Money Transmission Services: We facilitate the transmission of digital assets and funds between parties.

We do not provide exchange, brokerage, investment advisory, lending, staking, or any other financial services not explicitly described above. We are not a bank, credit union, or depository institution.

3. Eligibility

To use our services, you must: (a) be at least 18 years of age; (b) be a U.S. person or otherwise eligible to use our services under applicable law; (c) reside in a state or jurisdiction where our services are permitted; (d) have the legal authority to enter into these Terms; and (e) successfully complete our identity verification process.

4. Account Opening and Identity Verification

All prospective customers must complete our Customer Identification Program (CIP) and Know Your Customer (KYC) process before an account is opened. We reserve the right to decline any application for any reason or no reason, consistent with applicable law. You agree to provide accurate, complete, and current information and to update such information promptly if it changes.

5. Custody of Digital Assets

Digital assets held in your custodial account are owned by you. We hold such assets in our capacity as a custodian. You acknowledge that: (a) your digital assets are not deposits and are not insured by the FDIC or any government agency; (b) the value of digital assets may fluctuate and you may lose value; (c) we are not responsible for fluctuations in the value of your digital assets.

6. Transmission Instructions

You may instruct us to transmit digital assets or funds on your behalf. You are solely responsible for the accuracy of all transmission instructions. Blockchain transactions are generally irreversible. We are not liable for losses resulting from inaccurate instructions.

7. Fees

Fees applicable to our services, if any, will be disclosed to you prior to account opening and may be updated from time to time with prior notice. We reserve the right to modify our fee schedule upon thirty (30) days' written notice.

8. Prohibited Activities

You agree not to use our services to: (a) violate any applicable law or regulation; (b) engage in money laundering or terrorist financing; (c) transmit funds derived from illegal activity; (d) structure transactions to evade reporting requirements; (e) circumvent sanctions programs; or (f) engage in any activity that violates our AML/KYC policies.

9. Suspension and Termination

We reserve the right to suspend or terminate your account, without notice, if we determine that you have violated these Terms, applicable law, or our compliance policies. We may also suspend or terminate services in any jurisdiction at any time. Upon termination, you may request return of digital assets held in your account, subject to applicable compliance review.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACE PAYMENT SERVICES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR VALUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Dallas County, Texas.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where required, by providing direct notice. Continued use of our services following notice of changes constitutes acceptance of the revised Terms.
